These terms explain how working with Coded Genius works and what you can expect from us. If your signed project proposal says something different from these terms, the proposal applies to your project.
01Agreement
By using this website or hiring Coded Genius, you agree to these terms. "Coded Genius," "we," "us" and "our" mean our business, based in Stafford, Virginia. "You" means the person or business using this website or working with us.
02Our services
We offer website design and development, branding, SEO, marketing, website hosting and care, and digital products that are currently in development. The exact work for your project is described in your proposal.
03Proposals and scope
Every project starts with a written proposal that lists the pages, features, price, payment schedule, number of revision rounds and estimated timeline. Work that is not in your proposal, such as extra pages, new features or third-party integrations, is quoted separately before we start it.
04Pricing and payment
Package prices shown on this website are starting prices. Your final price is set in your proposal. Every package also requires a one-year minimum hosting term, explained in section 06. Invoices are due as stated in your proposal. If a payment is late, we may pause work until the account is current.
05Your responsibilities
- Provide the content, logos, photos and account access your project needs.
- Give feedback within the review windows in your proposal. Late content or feedback may move the timeline.
- Only send us materials you own or have permission to use.
- Review your website carefully before you approve it to go live.
06Hosting and minimum term
Every purchased package requires a minimum hosting term of one year (12 months) with Coded Genius. This applies to the Basic One Page, Standard Three Page, Premium Five Page and Partner Package.
Hosting is $99 a month for the Basic One Page, Standard Three Page and Premium Five Page packages, and $59.95 a month for the Partner Package.
Your 12-month term begins when your website launches, which means the date it goes live or the date it is delivered to you, whichever comes first.
Early termination. If services are terminated before the first 12-month term is complete, whether you end them or we end them because invoices go unpaid or these terms are not followed, you will be charged for the remaining months of the term at your package's monthly hosting rate. For example, if services end after month 4, the remaining 8 months are billed.
Early termination on a month-to-month or quarterly plan. These plans are available only after your first 12-month term is complete. If you cancel one before your current billing cycle ends, you will be charged for the time that remains in that cycle, prorated from your monthly hosting rate. For example, if you cancel 15 days into a 30-day monthly cycle, the remaining 15 days are billed. If you cancel 45 days into a 90-day quarter, the remaining 45 days are billed.
After the first year. Your first year is always a 12-month contract, no matter which plan you choose afterward. After the first 12 months, hosting continues month to month unless your agreement says otherwise. You may also opt in to renew automatically for another full 12-month term or on a quarterly basis. Month-to-month and quarterly plans are only available after the first 12 months.
Canceling after the first year. You can cancel a month-to-month or quarterly plan in writing at any time. There is no separate cancellation fee, but the time remaining in a month-to-month or quarterly billing cycle is billed as described in Early termination on a month-to-month or quarterly plan. Your services stay active until the end of your current billing cycle. No refunds are given for a monthly or quarterly billing period you have already agreed to.
Canceling a 12-month renewal. If you renew for another full 12-month term and cancel before that term ends, you will still be charged for the remaining months of the renewed term at your package's monthly hosting rate. Because the remaining months are billed, your services stay active from the date you cancel until the end of your renewal billing cycle, which ends on the same day of the month as your renewal date. Your services then end at 9am ET the next day. For example, if your term renewed on October 13, 2026 and you cancel on November 1, 2026, your services stay active until October 13, 2027 and end at 9am ET on October 14, 2027.
The Partner Package includes unlimited edits while your website is hosted with us. Edits are updates to your existing pages, such as text, photos, sections and small layout changes. New pages, new features and third-party integrations are quoted separately.
07Ownership
Your content, logos and materials stay yours. Once your project is paid in full, you own the final design and content we created specifically for your website. We keep ownership of our own tools, code and templates, and you may use them as part of your website. Fonts, plugins, stock photos and other third-party items are covered by their own licenses. We may show your finished project in our portfolio unless you ask us not to.
08Digital products
Our digital products are in development and not yet for sale. When they are available, each product listing will state what is included and how you may use it, including whether private label or resale rights apply. The terms on the listing will apply to that product.
09Third-party services
Some parts of your project may rely on other companies, such as domain registrars, hosting platforms, payment processors, booking tools and email providers. Their own terms apply, and we are not responsible for their outages, price changes or policies.
10Using this website
Please do not misuse this website, try to disrupt it, or copy its content or design for commercial use without our permission. Information on this website is general and may change without notice.
11No guaranteed results
We build every website to work well and to support your goals, but we cannot guarantee specific search rankings, traffic, leads or sales. Results depend on many things outside our control.
12Limitation of liability
To the extent the law allows, Coded Genius is not liable for indirect or consequential losses, such as lost profits or lost data. Our total liability for any claim related to a project is limited to the amount you paid us for that project.
13Ending a project
You may end a project by telling us in writing. Work completed up to that point is billed as described in your proposal. If your website has already gone live or been delivered, the remaining months of your 12-month minimum hosting term are also billed, as described in Hosting and minimum term. We may end a project if invoices go unpaid or these terms are not followed. See our Fulfillment Policy for cancellations and hosting.
14Governing law
These terms are governed by the laws of the Commonwealth of Virginia.
15Changes and contact
We may update these terms from time to time and will change the date at the top of this page when we do. Questions? Send us a message.
